OVERVIEW

Welcome to PhilU (“we,” “us,” “our”). Philu operates this online store and all related content, tools and services (collectively, the “Services”) to offer you a curated shopping experience. Philu is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service (“Terms”) govern your access to and use of the Services and reference additional policies (including our Privacy Policy). By accessing or using any part of the Services you agree to be bound by these Terms. If you do not agree, do not use the Services.

SECTION 1 — ACCESS & ACCOUNT

  1. You confirm you are at least the age of majority in your jurisdiction and you grant consent for any minor dependants using devices you own to access the Services.
  2. You must provide accurate, current and complete information (email, billing, shipping, payment, etc.) and keep it updated.
  3. You are responsible for safeguarding your account credentials and all activity on your account. You may not sell, transfer or license your account to anyone else.

We strive to display products accurately, but colours and appearance can vary by device. We do not warrant that any product will meet your exact expectations. Product descriptions, prices and availability may change without notice. We may discontinue or limit quantities at our discretion.

Placing an order constitutes an offer to purchase. We reserve the right to accept or decline any order. Orders are accepted only after payment is processed and you receive an order-confirmation email. Review your cart carefully; cancellations are not guaranteed once an order is accepted. Purchases are subject to our Refund Policy. All items are for personal use, not resale or export.

Prices, discounts and promotions may change without notice. The price in effect at checkout is the price that applies; taxes, shipping, handling and any customs duties are additional unless stated otherwise. You agree to provide valid payment information and authorise us to charge all amounts due (including taxes and shipping).

SECTION 5 — SHIPPING & DELIVERY

Delivery times are estimates only; we are not liable for carrier delays, customs inspections or events beyond our control. Title and risk of loss pass to you once we hand the parcel to the carrier.

All trademarks, text, images, graphics and other content in the Services are owned by Philu or its licensors and are protected by intellectual-property laws. You may use the Services for personal, non-commercial purposes only. No licence is granted except as expressly provided.

Third-party tools offered through the Services are provided “as is” and without warranties. Use them at your own risk and review the third party’s terms before use.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

Philu is powered by Shopify. All purchases are between you and Philu. Shopify bears no responsibility for any sale. You expressly release Shopify from any claims arising from your transactions with Philu.

SECTION 10 — PRIVACY

Personal information is handled in accordance with our Privacy Policy and Shopify’s Privacy Policy. By using the Services you acknowledge you have read those policies and consent to data transfers as described therein.

SECTION 11 — FEEDBACK

Any suggestions or reviews you submit may be used by us worldwide, royalty-free, for any purpose. You warrant you own the rights to the Feedback and it does not violate any laws or third-party rights.

SECTION 12 — ERRORS & OMISSIONS

Information on the Services may contain errors or omissions. We may correct these and cancel orders if any information is inaccurate, including after an order is submitted.

SECTION 13 — PROHIBITED USES

You may use the Services only for lawful purposes. You must not:

You agree to indemnify and hold harmless Philu, Shopify and their affiliates from any claims or damages arising from your breach of these Terms or your unlawful use of the Services.

If any provision is found unenforceable, the remaining provisions will remain in full force.

SECTION 19 — WAIVER & ENTIRE AGREEMENT

Our failure to enforce any right is not a waiver. These Terms, together with referenced policies, constitute the entire agreement between you and Philu.

SECTION 20 — ASSIGNMENT

You may not assign your rights under these Terms without our prior written consent. We may assign our rights without notice.

SECTION 21 — GOVERNING LAW

These Terms are governed by the laws of New South Wales, Australia. You consent to the exclusive jurisdiction of the courts located in that jurisdiction.

SECTION 22 — HEADINGS

Headings are for convenience only and do not affect interpretation.

SECTION 23 — CHANGES TO TERMS

We may update these Terms at any time. Material changes will be notified in accordance with applicable law. Continued use of the Services after changes constitutes acceptance.
